Terms of Service

Effective date: 30 October 2026

These Terms of Service (“Terms”) are an agreement between you and Anii Techspace Private Limited (“Anii”, “we”, “us”), Chennai, India, for the use of Reach at reach.anii.in and the Reach web app (the “Service”). By creating an account or using the Service, you accept these Terms on behalf of yourself and the business you represent (“you”).

1. The Service

Reach lets a business connect its own WhatsApp Business number, SMS sender ID, Instagram account and Facebook Page to send and receive messages, run campaigns, publish posts, manage contacts and enquiries, and use automations and an AI assistant. Messages are sent through Meta’s official WhatsApp Business Platform and Instagram and Facebook APIs, and through DLT-registered SMS providers.

2. No affiliation with Meta

Reach is an independent product of Anii. It is not made, endorsed or sponsored by Meta Platforms, Inc., WhatsApp LLC, Instagram or Facebook. WhatsApp, Instagram and Facebook are trademarks of Meta Platforms, Inc.

3. Your account

• You must be at least 18 and authorised to act for the business.
• Give accurate details and keep them up to date. You log in with a one-time password sent to your mobile number; keep your phone and account secure.
• You are responsible for everything done through your account, including by team members you invite and the permissions you give them.
• Tell us at once at info@anii.in if you suspect unauthorised use.

4. Connected accounts

When you connect a WhatsApp number, Instagram account or Facebook Page, you allow Reach to send and receive messages, read comments and publish content on it for you. You confirm that you own these accounts or are authorised to manage them. Meta and SMS operators may review, limit or suspend your accounts under their own rules; we are not responsible for their decisions. You can disconnect any account at any time in Settings.

5. Acceptable use

You must follow all laws and the rules of each platform, including:

• Meta: the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, Meta’s Platform Terms, and the Instagram and Facebook Community Standards.
• Opt-in and anti-spam: message on WhatsApp only people who have given you their number and agreed to receive messages from your business, use approved templates where required, and honour every opt-out (such as “STOP”) promptly.
• SMS in India: register your entity, sender IDs (headers) and templates on the TRAI DLT platform, send promotional SMS only within permitted hours and to numbers not on the DND registry, and follow the Telecom Commercial Communications Customer Preference Regulations, 2018.

You must not use Reach to:

• send spam, unsolicited bulk messages, or messages to purchased or scraped lists;
• send fraudulent, misleading, harassing, hateful, obscene or illegal content, or content that infringes others’ rights;
• sell or promote anything prohibited by the WhatsApp Commerce Policy or Indian law;
• impersonate anyone, or collect sensitive data such as card numbers or passwords through chats;
• break, overload, reverse-engineer or get around the security or limits of Reach or any connected platform.

We may remove content, pause campaigns or suspend accounts that break these rules, or when a platform or authority asks us to.

6. Your data and content

Your contacts, messages, media and posts remain yours. You give us permission to store and process them only to provide the Service, as described in our Privacy Policy. For your customers’ personal data, you are the data fiduciary under India’s Digital Personal Data Protection Act, 2023, and you are responsible for having a lawful basis, including consent, to message them. We act on your instructions as your data processor.

7. Prepaid wallet and message charges

• Message charges are paid from a prepaid wallet that you top up, for example by UPI. Charges are deducted when messages are sent, at the rates shown in the app or shared by our team before purchase.
• Rates include charges set by Meta for WhatsApp conversations and by SMS operators, which may change. We will show updated rates in the app, or tell you, before they apply.
• Messages are not sent when your wallet balance is too low. You can turn on auto top-up.
• Your wallet balance stays valid while your subscription is active.
• If your plan is not renewed, sending is paused and your balance is held for 30 days. Renew within those 30 days and your full balance is restored.
• After 30 days without renewal, the unused balance expires and is not refundable.
• Wallet balance is not interest-bearing, cannot be transferred, and is used only for Reach charges. Refunds are covered by our Refund Policy.

8. Plans and billing

• All plans are paid from the first month. There is no free plan or free trial.
• Plans are billed in advance for each billing period, at the price shown in the app or shared by our team before purchase, plus applicable taxes (such as GST).
• If a payment fails, we may pause paid features until it is paid.
• We may change plan prices with at least 30 days’ notice. The change applies from your next billing period.

9. Service availability

We work to keep Reach available and secure, but we do not promise it will always be uninterrupted or error-free. Reach depends on third-party platforms (such as Meta, SMS operators and cloud providers) that may change, limit or stop their services. We are not responsible for delays or failures caused by them.

10. Suspension and termination

You can stop using Reach and ask us to close your account at any time. We may suspend or end your access, with notice where possible or at once for serious or repeated breaches, for non-payment, or when required by law or a platform. After closure, we delete your data as described in the Privacy Policy and the Data Deletion page.

11. Disclaimers and limitation of liability

To the extent the law allows:

• The Service is provided “as is” and “as available”, without warranties of any kind.
• We are not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill.
• Our total liability for any claim relating to the Service is limited to the fees you paid us in the 3 months before the event giving rise to the claim. Wallet balance used for message charges is not counted as fees for this purpose.

12. Indemnity

You will compensate Anii for claims, losses and penalties arising from your content, your messages, your breach of these Terms or of platform policies, or your violation of law, including TRAI/DLT rules and data protection law.

13. Changes to these Terms

We may update these Terms. We will change the effective date above, and for important changes we will tell account owners by email or in the app at least 15 days before they apply. Continuing to use Reach after that means you accept the new Terms.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute arising from them.
